Introduction
These terms and conditions (“Agreement”) govern your use of the services provided by Midnight Performance (“Company”) related to vehicle tuning, customization, and maintenance. By using the Company’s services, you agree to these terms and conditions in their entirety.
Services Provided
The Company provides the following services:
Vehicle Tuning: The Company provides custom engine tuning, including but not limited to ECU remapping, dyno tuning, and other tuning solutions.
Vehicle Customization: The Company provides vehicle customization services, including but not limited to performance upgrades, exhaust system installation, suspension upgrades, and aesthetic upgrades.
Vehicle Maintenance: The Company provides vehicle maintenance services, including but not limited to oil changes, brake services, and tire services.
Service Agreements
Vehicle Tuning: The Company will perform custom engine tuning services based on the specifications provided by the customer. The Company does not guarantee any specific level of performance or horsepower gains from tuning services.
Vehicle Customization: The Company will perform customization services based on the specifications provided by the customer. The Company does not guarantee the fitment or compatibility of any aftermarket parts installed by the Company.
Vehicle Maintenance: The Company will perform maintenance services based on the specifications provided by the vehicle manufacturer. The Company does not guarantee the prevention of future vehicle issues or failures.
Payment
Payment for services must be made in full at the time of service unless otherwise agreed upon by the Company and the customer. The Company accepts cash, credit cards, and checks as forms of payment.
Cancellation and Refunds
If the customer cancels any service before the service has been performed, the Company will refund any payments made in Tuning Credits only, and any purchase of Tuning Credits is final and non-refundable. If the service has been performed, no refunds will be given. Tuning Credits are not redeemable for cash and can only be used towards future services provided by the Company.
Liability
The customer agrees that Midnight Performance is not liable for any damages or accidents that may occur to a vehicle after a software modification provided by us. The customer understands that modifying the engine control unit (ECU) can have potentially harmful effects on the vehicle and assumes all risks and responsibilities associated with such modifications. The customer agrees to indemnify and hold Midnight Performance and its employees, agents, and representatives harmless from any claims, damages, or expenses arising out of the customer’s use of the Company’s services.
Intellectual Property
The customer acknowledges that the Company owns all intellectual property rights in and to its services, including but not limited to its proprietary engine tuning software. The customer agrees not to use any of the Company’s intellectual property without the express written consent of the Company.
Termination
The Company reserves the right to terminate this Agreement at any time without notice to the customer.
Governing Law
This Agreement shall be governed by and construed in accordance with international Law.
Entire Agreement
This Agreement constitutes the entire agreement between the Company and the customer and supersedes all prior agreements and understandings, whether written or oral.
Amendments
The Company may amend this Agreement at any time by posting the amended terms on its website. The customer’s continued use of the Company’s services after any such amendments shall constitute acceptance of the amended terms.
